About Matt Chain
As a seasoned corporate attorney, I offer clients unparalleled responsiveness, efficiency and senior level attention at a fraction of the cost of larger firms.
My professional passion lies in venture capital and growth equity transactions, representing both investment firms and issuers in a wide variety of transactions ranging from early stage raises to institutional funding rounds to highly structured pre-liquidity partnerships.
I also act as outside general counsel to a variety of entrepreneurs and businesses, which involves addressing their day-to-day legal needs in the areas of entity formation, capitalization table analysis and management, equity incentive plan administration, corporate compliance, contract drafting and review, risk management, employment advice and compliance, as well as dispute resolution.
Most fundamentally, I serve my clients as a problem solver.
Experience
I began my legal career at the prestigious global law firm Milbank LLP in Los Angeles, where I spent five years developing a broad base of experience across a wide variety of transactions and a depth of knowledge in capital markets, corporate finance transactions and mergers and acquisitions.
I further developed my talent over approximately seven years at Massumi + Consoli LLP, a private equity boutique. There I focused principally on growth equity and venture capital transactions as well as a wide variety of general corporate matters quarterbacking all manner of novel issues on behalf of clients.
Thereafter, I spent two and a half years practicing at Acceleron Law Group, LLP, where I further refined my skills in serving venture capital investors, family offices, high net worth individuals, early stage companies and entrepreneurs alike.
Education
Originally from the suburbs of Philadelphia, I earned my undergraduate finance degree in 2005 at NYU’s Stern School of Business.
After spending a couple years working on Wall Street, I earned my law degree at the University of Michigan Law School in 2009.
I am admitted to practice in both California and New York.
Additionally, I have served as an adjunct professor at the University of Southern California Gould School of Law.
Personal
Outside of legal practice, I am a devoted husband to my wife Susan and loving father to two young daughters. In my spare time, I am also an avid coral reef aquarist and conservationist and a devoted supporter of Philadelphia and University of Michigan sports teams.
